This Risk Disclosure contains important information about the limitations of our service and the risks associated with investing. Please read it carefully. Using the Soffia platform does not substitute for professional financial, legal, or tax advice.

Nature of Service — Educational Platform Only

Soffia Wealth, Inc. operates an AI-powered investing education platform. During the current phase of operation, Soffia is in the process of registering as an investment adviser with the relevant state securities authorities. Until full registration is complete and further notice is given, the platform operates as a general financial education service only.

Nothing on the Soffia platform — including any lesson content, AI coach response, notification, market data display, or other communication — constitutes:

  • Personalised investment advice;
  • A recommendation to buy, sell, or hold any specific security, fund, digital asset, or other financial instrument;
  • A solicitation or offer to buy or sell any security; or
  • Legal, tax, or accounting advice of any kind.

Soffia's governing principle is that the platform tells users how the world works — it never tells them what to do in it. Every lesson, every coaching interaction, and every piece of content on this platform is designed to educate, not to direct.

The AI Coach — Scope and Limitations

The Soffia AI coach is an educational tool governed by a strict framework. Understanding its limitations is important:

  • General education only. The AI coach explains financial concepts, market dynamics, and investment principles as they work in the world generally. It does not assess your individual financial situation, risk tolerance, time horizon, or investment objectives.
  • No personalised recommendations. Even where the AI coach has access to your portfolio data through an authorised connection, it will describe what your portfolio contains and what the data means — not what you should do about it. "Your portfolio is 80% equities" is education. "You should reduce your equity allocation" would be advice, and Soffia will never say the latter.
  • Historical data and general frameworks. When the AI coach references historical market performance or statistical averages, this information reflects past data and publicly available research. It is not a projection of future performance.
  • No liability for decisions. Any investment decision you make based on information or content encountered on the Soffia platform is your own decision, made at your own risk.

Investment Risk

Investing involves risk, including the possible loss of principal. The value of investments can go down as well as up. You may receive back less than the amount you originally invested.

Different types of investments carry different levels and types of risk. The following risks are common to many investments and are not exhaustive:

  • Market risk: The value of securities fluctuates in response to market conditions, economic events, geopolitical developments, and other factors outside any individual's control.
  • Concentration risk: Holding a large proportion of your portfolio in a single security, sector, or asset class increases your exposure to losses if that investment performs poorly.
  • Liquidity risk: Some investments may be difficult to sell quickly at a fair price, particularly during periods of market stress.
  • Inflation risk: Returns that do not outpace inflation can reduce the real purchasing power of your savings over time.
  • Digital asset risk: Cryptocurrencies and other digital assets are highly volatile and speculative. Their value can decline significantly in short periods. They are not legal tender and are not backed by any government or central bank. Regulatory developments may affect their value and legality.

Account Protection — SIPC Coverage

Investment accounts opened through the Soffia platform are held in custody by Altruist Corp, a registered investment adviser and member of the Securities Investor Protection Corporation (SIPC).

Eligible accounts at Altruist are protected by SIPC up to $500,000 in total (including up to $250,000 for claims for cash). SIPC protection applies if a SIPC-member firm fails financially and customer assets are missing. It does not protect against investment losses resulting from market fluctuations. SIPC protection does not cover:

  • Losses due to market movements or poor investment performance;
  • Claims arising from investment advice or recommendations;
  • Commodity futures contracts or foreign exchange positions; or
  • Investment contracts (such as limited partnerships) not registered with the SEC.

Past Performance

Past performance is not indicative of future results. When the Soffia platform or AI coach references historical market returns — such as long-run averages for the S&P 500 or historical bond yields — this information is provided for educational purposes only. It describes what has happened in the past. It is not a representation, guarantee, or forecast of what will happen in the future.

Investment returns are affected by a wide range of factors that change over time, including interest rates, inflation, economic cycles, regulatory changes, and market sentiment. Historical averages may not be achievable in future market environments.

No Tax Advice

The Soffia platform may describe general US tax concepts in the context of investing — for example, the difference between taxable and tax-advantaged accounts, or how capital gains are generally treated under US tax law. This content is educational only.

Soffia does not provide personalised tax advice. We cannot tell you what your specific tax liability is, whether you should sell an investment based on tax considerations, or how any particular transaction will affect your tax position. Tax laws are complex and change frequently. Your specific tax situation depends on facts and circumstances that Soffia is not in a position to assess.

Market Data and Information

Where the Soffia platform displays market data, stock prices, or other financial information, this data may be delayed, approximate, or provided for illustrative purposes only. It should not be relied upon as a basis for investment decisions.

Soffia does not make predictions about future market performance, price movements, or economic conditions. Any content that describes how markets have behaved historically — or how analysts or economists generally interpret market signals — is descriptive and educational, not predictive.

Service Availability and Feature Status

Soffia is an early-stage product. Some features described on the platform — including certain investment account capabilities, advanced AI coaching features, and future service tiers — are in development and not yet available to all users or in all circumstances.

We make no guarantee of continuous, uninterrupted access to the platform. We reserve the right to modify, suspend, or discontinue any feature or service at any time, with reasonable notice where practicable.

Certain features described on the platform are subject to regulatory authorisation that has not yet been obtained. We will not offer services that require regulatory authorisation until that authorisation is in place.
